3. No Agency–Client Relationship Created
Use of the Site, submitting a contact form, or communicating with us does not create an agency–client relationship.
A formal relationship begins only after both parties sign a written service agreement or contract.

5. No Direct Sales or User Accounts

All work is performed only under individually executed contracts.
6. Payment & Billing
Payments for EdaptX services are handled per the signed contract with each client.
Billing is processed through Stripe or as otherwise stated in the contract.
These Terms do not supersede or replace any payment terms outlined in a signed service agreement.
7. Intellectual Property
All content on this Site—including text, graphics, design elements, logos, images, and structure—is owned by or licensed to EdaptX.
You may not reproduce, copy, modify, resell, scrape, or use any Site content without written permission.
Client Deliverables
Deliverables created for clients under contract:
Transfer into the client’s full ownership upon payment, as stated in the contract.
Are not licensed for resale or redistribution unless we explicitly grant permission in writing.
8. User Conduct
By using the Site, you agree not to:
Spam our contact forms
Use the Site for unlawful or harmful purposes
Submit abusive, defamatory, fraudulent, or misleading content
Attempt to access restricted or non-public areas of the Site

We do not control these platforms and are not responsible for:
Downtime
Outages
Platform errors
Data loss
Policy changes
Account restrictions or suspensions
Your use of third-party platforms is governed by their respective terms and policies.
11. Disclaimer of Warranties

EdaptX makes no guarantees regarding:

Lead quality
Ad performance
SEO ranking
Revenue generation
Speed of results
Platform uptime
Availability of services or features
Marketing results vary and are influenced by factors outside our control.
12. Limitation of Liability
To the fullest extent permitted by law, EdaptX is not liable for any:
Direct, indirect, incidental, punitive, or consequential damages
Lost revenue, lost leads, lost data, or business interruption
Failures caused by third-party tools, software, or platforms

13. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Michigan.
All disputes shall be resolved exclusively in Michigan courts.
